1. Acceptance of Terms

By accessing or using uplane (the "Service"), a product of Uplane, Inc. ("we," "us," "our," or the "Company"), you ("you" or "user") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not access or use the Service.

2. Description of Service

Uplane is a SaaS platform designed for performance marketing (the "Platform"). The Service includes, but is not limited to, access to the Platform, related documentation, support, and other services we may provide.

3. User Accounts

3.1. Account Creation: To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorized access to or use of your account.

3.3. Account Responsibility: You are solely responsible for all activities that occur under your account. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

4. Use of Service

4.1. Acceptable Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:In any way that violates any applicable law or regulation.To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.To impersonate or attempt to impersonate us, our employees.To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm us or users of the Service.

4.2. Prohibited Activities: You agree not to:Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.

5.1. Our Content: All content and materials available on Uplane, including but not limited to text, graphics, logos, images, and software, are protected by intellectual property rights owned by us or our licensors.

5.2. Your Content: You retain ownership of any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, and distribute such content in connection with the Service.

6. Fees and Payments

6.1. Subscription Fees: Access to certain features of the Service may require a subscription fee. You agree to pay all applicable fees in accordance with the pricing and payment terms presented to you.

6.2. Payment Information: You agree to provide accurate and complete payment information. You authorize us to charge your chosen payment method for all applicable fees.

6.3. Refunds: All fees are non-refundable unless otherwise stated in our refund policy.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UPLANE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

8. Disclaimer of Warranty

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Termination

We may terminate or suspend your account and access to the Service at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
